Membership Agreement

This Membership Agreement (the "Agreement"), which is incorporated by reference into and made part of Superpower's Terms of Service, is effective from the date of Member's first membership payment (the "Start Date"), is between you ("Member") and us, Superpower Health, Inc. (“Superpower,” “we,” or “us”). By entering into this Agreement, you acknowledge that you have read, understood, and agree to be bound by our Terms of Service (which includes this Agreement) and Privacy Policy.

Member Services

  1. Superpower Services. Our membership program is an automatic, recurring annual membership payment to Superpower’s wellness platform (“Membership”). As part of the Membership, we offer access to third party laboratory testing, imaging service, pharmacy, and other health and wellness services as more fully described on the Platform, and access to Superpower Concierge, Superpower Marketplace, and Superpower Data Vault. You can find specific details regarding your Membership options by accessing your User Account via the Platform. 
  2. Third Party Services. Through your Membership, you may have access to various healthcare and wellness services provided by Superpower's third-party partners, including but not limited to phlebotomists, laboratories, pharmacies, imaging centers, and medical groups (collectively, "Third Party Providers"). In some instances, these Third Party Providers may bill your insurance directly for their services, and Superpower's role is limited to facilitating payment collection. While Superpower coordinates these wellness services to enhance your member experience, Superpower does not provide medical advice or professional healthcare services. All medical and professional services are provided solely by the Third Party Providers, who maintain complete responsibility for the quality, appropriateness, and professional standards of their services. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERPOWER EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS REGARDING THE THIRD PARTY PROVIDERS' SERVICES AND SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL, ARISING FROM OR RELATED TO SUCH SERVICES. THIRD PARTY PROVIDERS DO NOT PROVIDE URGENT CARE OR EMERGENCY CARE. IF YOU ARE HAVING AN URGENT MEDICAL ISSUE PLEASE GO TO YOUR NEAREST URGENT CARE, EMERGENCY ROOM, OR CALL 911.
  3. Membership Term. This Agreement will commence on the Start Date and will continue for a period of one (1) year thereafter (the “Initial Term”). The Initial Term is non-cancelable, unless terminated sooner pursuant to Section 3(c) below. At the end of the Initial Term, this Agreement will continually and automatically renew upon the same terms and conditions for successive one (1) year periods (each, a “Renewal Term”), unless terminated sooner pursuant to Section 3(c) below. For purposes hereof, the Initial Term and each Renewal Term will be collectively referred to as the “Term”.

Fees and Recurring Charges

  1. Membership. THE MEMBERSHIP CONSISTS OF AN INITIAL CHARGE FOLLOWED BY RECURRING PERIODIC CHARGES AS AGREED TO BY YOU (“MEMBERSHIP FEES”). BY ENTERING INTO THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOUR MEMBERSHIP HAS AN INITIAL AND RECURRING PAYMENT FEATURE AND YOU ACCEPT RESPONSIBILITY FOR ALL RECURRING CHARGES PRIOR TO CANCELLATION. YOU CAN DEACTIVATE YOUR MEMBERSHIP AFTER THE INITIAL ONE-YEAR TERM. YOU WILL NOT BE CHARGED FOR ANY CANCELLATION. YOU CAN REQUEST TO REJOIN SUPERPOWER AT ANY TIME FOLLOWING YOUR CANCELLATION, BUT WE RESERVE THE RIGHT REFUSE TO RESTART YOUR MEMBERSHIP IF WE HAVE TERMINATED YOUR MEMBERSHIP. 
  2. Membership Add-Ons. Different features, products, services, and other customized options may become available in addition to your Membership as determined from time to time by Superpower. Certain products or services available for purchase through the Services may allow you to purchase on a one-time or on a subscription basis (“Subscription Services”). For subscription-based products, your payment method on file will be automatically charged at regular intervals as described for that product or service during the checkout process.   3. Early cancellation. If you cancel your membership within seven (7) days of the date of purchase and no services have been scheduled or initiated (including but not limited to lab orders, consultations, or platform access), you may be eligible for a full refund of Membership Fees. Once any services have been scheduled or initiated, all Membership Fees become non-refundable. After seven days, Membership Fees are not refundable.
  4. Understanding Your Fees. By accepting these terms, you agree to pay the Membership Fees. We want to make sure you understand that your health insurance or other payment plans might not cover these Fees. We don't assess whether you can get coverage or reimbursement for these fees from insurance companies or other payers. 

Auto-Renewal and Cancellation

  1. YOUR MEMBERSHIP WILL CONTINUE INDEFINITELY UNTIL TERMINATED IN ACCORDANCE WITH THIS AGREEMENT. FOLLOWING YOUR INITIAL TERM, AND AGAIN AFTER ANY SUBSEQUENT MEMBERSHIP PERIOD, YOUR MEMBERSHIP WILL AUTOMATICALLY COMMENCE ON THE FIRST DAY FOLLOWING THE END OF SUCH PERIOD AND CONTINUE FOR SUCCESSIVE RENEWAL PERIODS OF THE SAME LENGTH, AT THE THEN-CURRENT, NON-PROMOTIONAL MEMBERSHIP RATE. YOU AGREE THAT YOUR ACCOUNT WILL BE SUBJECT TO THIS AUTOMATIC RENEWAL FEATURE UNLESS YOU DEACTIVATE YOUR SUBSCRIPTION WITHIN 72 HOURS BEFORE THE ANNUAL RENEWAL DATE (I.E., THE ANNIVERSARY OF YOUR INITIAL SUBSCRIPTION DATE). 
  2. TO DEACTIVATE YOUR SUBSCRIPTION, EMAIL CONCIERGE@SUPERPOWER.COM OR, WHERE REQUIRED, LOG ONTO YOUR SUPERPOWER ACCOUNT AND FOLLOW DIRECTIONS FOR CANCELATION. IF YOU DEACTIVATE DURING THE INITIAL TERM, YOU MAY USE YOUR SUBSCRIPTION UNTIL THE END OF YOUR THEN-CURRENT SUBSCRIPTION TERM; YOUR SUBSCRIPTION WILL NOT BE RENEWED AFTER YOUR THEN-CU RRENT TERM EXPIRES. DURING THE INITIAL TERM, YOU WILL NOT BE ELIGIBLE FOR A PRORATED REFUND OF ANY PORTION OF THE SUBSCRIPTION FEE PAID FOR THE THEN-CURRENT SUBSCRIPTION PERIOD. 
  3. BY SUBSCRIBING TO THE SERVICE, YOU AUTHORIZE SUPERPOWER TO CHARGE YOUR PAYMENT PROVIDER NOW, AND AGAIN AT THE BEGINNING OF ANY SUBSEQUENT SUBSCRIPTION PERIOD. UPON RENEWAL OF YOUR SUBSCRIPTION, IF SUPERPOWER DOES NOT RECEIVE PAYMENT FROM YOUR PAYMENT PROVIDER, (A) YOU AGREE TO PAY ALL AMOUNTS DUE ON YOUR ACCOUNT UPON DEMAND AND (B) YOU AGREE THAT SUPERPOWER MAY EITHER TERMINATE OR SUSPEND YOUR SUBSCRIPTION AND CONTINUE TO ATTEMPT TO CHARGE YOUR PAYMENT PROVIDER UNTIL PAYMENT IS RECEIVED (UPON RECEIPT OF PAYMENT, YOUR ACCOUNT WILL BE ACTIVATED AND FOR PURPOSES OF AUTOMATIC RENEWAL, YOUR NEW SUBSCRIPTION COMMITMENT PERIOD WILL BEGIN AS OF THE DAY PAYMENT WAS RECEIVED).

Payment and Pricing

  1. Pricing Adjustments. We reserve the right to adjust your Membership fee in our sole discretion, at any time and without notice to you; provided, however, that we will provide you with at least ten (10) days’ advance notice of any Membership Fee changes. Your acceptance of Services after such notice has been delivered to you will constitute your acceptance of such fee changes, unless you cancel your Membership in accordance with these Terms. All prices shown on the Platform are in U.S. dollars. Any applicable taxes and other fees or charges are not included and are additional to any prices shown on Platform. Prices, taxes or other fees may vary geographically. Continuing to use and access the Platform after our delivery of such notice will confirm your acceptance of such changes, unless you cancel your Membership in accordance with this Agreement. 
  2. One-time and Recurring Payments. You agree to pay your Membership Fee and any fees for all additional Services or products purchased using your User Account in accordance with the prices and billing terms in effect at the time an order is made from your User Account. You also agree to pay all applicable taxes. To make an order from a User Account, you must provide valid payment information (e.g. credit card, debit card) through the Platform. By placing an order through your User Account, you also agree and authorize (1) the payment method(s) you provide to be immediately charged for all fees and taxes applicable to your Membership, (2) Superpower to automatically charge alternative payment methods associated with your account if a primary payment method is declined or no longer available, (3) Superpower to share payment information and instructions required to complete the payment transactions between Superpower, our payment processors, and their third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services) in accordance with the Privacy Policy, and (4) no additional notice or consent is required for the foregoing authorizations. You agree to immediately update your User Account in the event of any change in your payment information. Superpower reserves the right at any time to change its billing methods. If a payment method cannot be verified, is invalid or is otherwise not acceptable, your Membership may be suspended or canceled. If a payment is not successfully paid and you do not edit your payment method or cancel your purchase of any Superpower Services (as such term is defined in the Terms of Service), you remain responsible for any uncollected amounts and authorize us to continue billing the payment method, as it may be updated. Superpower reserves the right to collect any outstanding payment due, and may transfer the collection of your outstanding balance to a third-party collection agency. WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY, ANNUALLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE ADVANCE NOTICE THAT YOU WISH TO TERMINATE THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE SUPERPOWER REASONABLY COULD ACT. IF YOUR PAYMENT DETAILS CHANGE, YOUR CARD PROVIDER MAY PROVIDE US WITH THE UPDATED PAYMENT DETAILS. WE RESERVE THE RIGHT TO USE THESE UPDATED DETAILS FOR FUTURE CHARGES IN ORDER TO HELP PREVENT ANY INTERRUPTION TO THE DELIVERY OF SERVICE. 
  3. Subscription payments. For subscription-based products, your payment method on file will be automatically charged at regular intervals as described for that product or service during the checkout process. You may cancel a subscription at any time up to 72 hours before the applicable monthly processing date of your subscription by emailing concierge@superpower.com. In order to simplify the User experience on the Platform, you will only see and be required to pay a single “total” subscription price for certain products and services. However, if a subscription product you purchase requires a consultation with a Healthcare Provider and/or includes a prescription product that you fill through one of the Pharmacies, then the total price you pay includes the amount charged by the Pharmacy for the prescription drug and the amount charged by the Medical Group for the services of the Healthcare Provider, as well as the amount we charge for use of and access to the Platform. We collect the amounts charged by the Pharmacies and the Medical Groups on behalf of the Pharmacies and Medical Groups and pass the applicable amounts through to them.
  4. Late Payments. Superpower reserves the right to (i) terminate this Agreement or (ii) withhold your eligibility to receive Membership Services for failure to pay any invoice for or installment of Membership Fees in a timely manner. Superpower may charge late fees of 1.5% per month of the total amount owed until paid for any Services Fees not paid in a timely manner.

Insurance Coverage

  1. Not a Medical Provider. SUPERPOWER IS NOT A HEALTHCARE PROVIDER AND DOES NOT BILL INSURANCE. While some Services available through Superpower may be eligible for insurance reimbursement, Superpower makes no guarantees regarding insurance coverage and is not responsible for submitting claims or facilitating reimbursement. You are solely responsible for determining coverage eligibility and submitting claims to your insurance plan (your “Plan”). 
  2. Not an insurer. Superpower is not an insurance company and is not promising or delivering unlimited care for Membership Fees or any other charges incurred through your use of the Platform. We presume you are either eligible for Medicare or otherwise have a private Plan that provides healthcare coverage for essential healthcare services not covered by Membership Fees. Also, a Superpower Membership is not the same as having health insurance or other health plan coverage (like an HMO). It's still important to keep your health insurance policies or plans to cover your and your family's healthcare costs. This membership does not provide health insurance for you, and it's not meant to replace any health insurance or health plan coverage that you have now or in the future.
  3. Medicare and Private Insurance. If you are or become Medicare eligible, you agree that you will not submit to Medicare any claim for payment of the Membership Fees (including Membership Add-On fees) or request that Superpower submit such a claim. You acknowledge and understand that Medicare does not cover and will not pay for the Membership Fees. 
  4. HSA/FSA. You may be able to use your HSA/FSA for Superpower membership fees, or purchase supplements or other health-related items in the Superpower Marketplace which may be recommended by your Superpower Healthcare Provider with a letter of medical necessity. Superpower will utilize a third party service and will share your information with them to create letter of medical necessity to send to your HSA/FSA provider. There is no guarantee of reimbursement or coverage, and all claims are subject to approval of your HSA/FSA provider.

Rescheduling and Missed Appointment Fees

Lab Testing

  1. Sample Collection Appointment at Partner Lab Facility: Sample collection appointments can be rescheduled up until the time of appointment with no charge. If you wish to reschedule your appointment at our partner lab facility, send a message to your concierge to find another appointment time that works best for you.
  2. At-Home Sample Collection Appointment. Sample collection appointments can be rescheduled in the Platform up to 24 hours before the scheduled appointment time. If you wish to reschedule your appointment within 24 hours of its originally scheduled time, you can complete this by logging into the Platform or contacting the Superpower Concierge via the Platform or through SMS. Please note that appointments missed or rescheduled within this 24-hour window will incur a rescheduling fee of $99.00 (which may be subject to change) that will be charged to your card on file.

Imaging Services & Functional Testing

  1. Appointments for imaging services & functional testing can be rescheduled up to three (3) business days ahead of your scheduled appointment with no additional charge.
  2. If you wish to reschedule within three business days of your scheduled appointment or you miss your appointment, you may be charged a rescheduling fee ranging from $50 - $250 (which may be subject to change), depending on the service purchased. Please reach out to your Superpower Concierge to inquire about rescheduling fees related to your purchased service.
  3. If you wish to reschedule your appointment, send a message to your superpower concierge via the platform or SMS to find another appointment time that works best for you.

Laboratory Testing

  1. Superpower does not provide phlebotomy services and will not perform your blood draws but will provide you access to and coordinate with third parties, independently operated and unaffiliated with Superpower, that will send phlebotomists to your location to draw your blood. By using the Services and providing Superpower with your desired location, you authorize us to request that these third parties draw your blood from that location. You understand that Superpower does not have any control over the operations of these third parties and that we will not be liable for any actions or inactions performed by third parties. 
  2. You understand that blood-based laboratory testing requires obtaining a blood sample, which could result in bruising, hematoma, infection, lightheadedness, bleeding, fainting, and discomfort. You agree to consult with your medical provider in advance of using our Services.
  3. Superpower does not own or operate a laboratory. All laboratory testing services will be performed by LabCorp, Quest Diagnostic or a third-party laboratory testing services, each of which is an independently owned and unaffiliated laboratory.  By using our Services, you understand that the terms and conditions of the applicable laboratory apply to services performed by such laboratory. You understand that Superpower does not have any control over the operations of LabCorp or Quest Diagnostic or any other laboratory testing service and that we will not be liable for any actions or inactions performed by LabCorp or Quest Diagnostic or any other laboratory testing service. By using our Services, you understand that the terms and conditions and privacy policy of LabCorp and/or Quest Diagnostic will apply to services performed by such laboratory, as applicable.
  4. Accessing Lab Tests on the Platform: You will receive your Lab results via the Platform. Superpower and/or a third-party Medical Group will make all reasonable efforts to notify you of abnormal or critical lab values via the Platform and by email and/or phone contact. You are responsible for checking your laboratory results and completing any necessary follow up with your primary care provider. You understand that the process of viewing your laboratory results is irreversible, potentially life altering and might cause distress and anxiety. You agree that you will discuss whether it is appropriate to use our services with your medical professional in advance. You understand that by sharing your laboratory results with Healthcare Providers that such information may become part of your medical record and therefore accessible by other healthcare providers and insurance providers.
  5. Requests for Lab Invoices: Patients residing in New York, New Jersey, and Rhode Island have the right under their respective state patient billing laws to request an itemized price list from Superpower for their laboratory tests.
  6. For the avoidance of doubt, this does not apply to labs or other data that you upload yourself to the Data Vault. The Healthcare Providers are not notified when you upload labs to the Superpower data vault (the “Data Vault”) and they may or may not review any labs or data uploaded to the Data Vault in their sole discretion. You should not assume that anything you upload into the Data Vault is being reviewed.

Superpower Marketplace

  1. As part of your Membership, you may access Superpower's Marketplace to purchase health-related products, whether recommended by a Healthcare Provider or selected by you independently. All products available on the Marketplace are offered by third-party sellers. Superpower does not manufacture, distribute, or warrant any such products, and expressly disclaims all responsibility and liability arising from your purchase, use, or reliance on any Marketplace products, including but not limited to their quality, safety, efficacy, legality, or fitness for a particular purpose. Any issues, claims, or disputes regarding Marketplace products must be addressed directly with the third-party seller.

Prescriptions

  1. Certain products available through the Platform require a valid prescription by a licensed healthcare provider. You will not be able to obtain a prescription product unless you have completed a consultation with one of the Healthcare Providers through the Platform, the Healthcare Provider has determined the prescription product is appropriate for you and the Healthcare Provider has written a prescription.
  2. If a Healthcare Provider determines a prescription product is appropriate for you and writes you a prescription, you may fill it through one of the Pharmacies by using the Platform, or you may fill the prescription at any pharmacy of your choice as prompted during your use of the Service or by emailing concierge@superpower.com. Prescriptions fulfilled by the Pharmacies do not use child-resistant packaging and prescription products will not be dispensed in child-resistant containers.
  3. If you request that a Healthcare Provider send your prescription to your preferred pharmacy, then you are responsible for picking up or arranging for delivery of the medication. You are also aware that some compounded prescriptions may not be available at your preferred pharmacy. You are responsible for providing the dispensing pharmacy with your health insurance information and for paying any charges due for medication, including co-pay, co-insurance, deductible, and all associated fees arising as a result of the prescription.

Cancellation and Refund

Canceling a Membership

You may cancel your Membership at any time up to 72 hours before the applicable annual processing date of your subscription by emailing concierge@superpower.com or, if required, log on to your Superpower account and follow directions for cancelation.

After cancellation

  1. You will retain access to your account, data, and visualization of your data as well as previous treatment plans from the Superpower Data Vault.
  2. You will no longer have access to Superpower Concierge, Superpower Marketplace, or any clinical services. 

Service-specific Cancellation

Laboratory Testing not Included in Membership Fee
  1. All cancellations must be requested within 60 days of payment to be eligible for a refund. 
  2. No refunds will be issued after test samples are collected either at a partner lab facility or in-home with one of our phlebotomy partners. 
  3. The refund will be limited to the full price of the test and will be returned to the original payment method. Certain exclusions apply.
The following tests are non-refundable:
  1. Intestinal Permeability Panel
  2. Environmental Toxins Panel
  3. PFAS Chemicals Panel
  4. Galleri Early Cancer Detection Test
  5. Food & Environmental Allergy Testing
  6. Any lab testing included in the cost of your membership.
Imaging Services & Functional Testing
  1. All cancellations must be requested within 60 days of payment to be eligible for a refund.
  2. The cancellation request must be received greater than three business days from your scheduled appointment to be eligible for a refund. No refunds will be issued if the service is cancelled within three business days of the requested appointment.
  3. The refund will be limited to the full price of the service and will be returned to the original payment method.
Prescription Products and Treatments
  1. Prescription products are not eligible for refunds.
  2. For Subscription Services, you are able to cancel the subscription at any time, however you will not be refunded for previous payments. Subscription Services must be cancelled greater than 7 days from their renewal date, to avoid being charged for the upcoming renewal period. If cancellations are requested within 7 days of the renewal date, your Subscription Services will be cancelled, but you will not be refunded for the upcoming renewal period. You can manage your Subscription Services in the Superpower Platform in the settings page under ‘billing’.
  3. If you have any questions or concerns regarding this policy, please reach out to your Superpower Concierge via the platform or SMS.
  4. Superpower Termination Rights. Superpower reserves the right to terminate or suspend your Membership immediately upon written notice for: (i) failure to pay any fees when due; (ii) breach of this Agreement; (iii) violation of applicable laws; (iv) misuse of the Platform or Services; (v) behavior that is disruptive, abusive, or threatening to Superpower staff or Third Party Providers; (vi) if Superpower reasonably believes your continued use of the Services poses a risk to Superpower, other users, or Third Party Providers; or (vii) any other reasonable cause determined by Superpower in its sole discretion. Upon termination, Superpower may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such information, files, or the Platform. Upon termination by Superpower, you will not be entitled to any refund of Membership Fees or other fees paid.
